The Firm acts as company secretary to a number of companies registered in Nigeria. This Team advises a number of local and foreign clients on corporate matters which affect their daily operations vis-à-vis Nigerian company laws. These services ranges from matters pertaining to incorporation, corporate restructuring, corporate governance, statutory filings, meetings, winding-up procedures, immigration laws, labour & employment laws etc.
Having served a number of local and multi-national organisations on varied number of transactions relating to company secretarial matters, our lawyers have developed significant expertise in the regulatory matters involved in company operations. We have a thorough understanding of Nigerian law and specific regulations relating to this sector and we have over time established a good working relationship with regulatory authorities like the Corporate Affairs Commission, Securities and Exchange Commission, Nigerian Stock Exchange, Nigerian Immigration Service etc.
We create processes to monitor our client’s compliance with the law and their own established codes of conduct and policies. We also assist our clients by setting up compliance programmes with relevant legislation as well as Nigeria’s code of corporate governance and consistently monitor the company’s progress in meeting them. Olubukola (“Bukki”) is a partner in Odujinrin & Adefulu and currently co-heads the Corporate/Commercial and Capital Market Practice of the Firm. Bukki has fifteen years of legal practice experience and in this time, has developed expertise in the general practice of law with extensive experience in matters relating to corporate and commercial law, capital market as well as corporate governance. She has led the Firm’s team on a number of innovative transactions in the commercial practice space.
Bukki was a member of the panel on Corporate Governance at the 2015 International Bar Association Conference in Vienna. She has been highlighted as a “recommended lawyer” in the Corporate/Commercial category of the Chambers Global Guide 2018 and is one of the recipients of the top 40 Under 40 lawyers at the ESQ Nigerian Legal awards in 2018. Bukki currently acted as Chairperson, Young Lawyers’ Forum of the Nigerian Bar Association, Section on Business Law (‘NBA-SBL’) and is the Coordinator of the NBA-SBL’s inaugural Mentorship Program. She was the Publicity Secretary for the Capital Market Solicitors Association (2019-2021) and currently is the First Vice Chairman of the Capital Market Committee of the NBA-SBL.
She holds a law degree from the University of Buckingham and has been called to the Nigerian Bar.
